Q: Does Orbital common stock pay a dividend?

A: Orbital does not pay a cash dividend on its common stock. The company currently intends to retain earnings primarily for working capital and product development and therefore does not anticipate paying dividends in the foreseeable future.

Direct Registration System

Effective as of November 16, 2007, Orbital participates in the Direct Registration System.

Q: What is Direct Registration System?

A:  Direct Registration System (DRS) is a method of recording shares of stock in book-entry form.  Instead of being represented by a physical stock certificate, DRS shares of Orbital stock are held in your name and tracked electronically (in book-entry form) in our records, which are maintained by our transfer agent, Computershare.  You retain full ownership of your shares as well as all the traditional rights and privileges of being a stock owner.

Q: What are the benefits of book-entry?

A: Book-entry through DRS is becoming the standard in share ownership because it:

  • Eliminates the risks and costs associated with storing certificates and replacing lost or stolen certificates.
  • Permits electronic share transactions between your broker or dealer and Computershare.

Q: How do I participate in DRS?

A: If you currently hold stock certificates, they are still valid and do you do not need to take any action.  If you would like, you can convert your stock certificates to book-entry shares at any time by sending your certificates along with a letter of instruction to:

The method of delivery of certificates is at your election and risk. If delivered by mail, we recommend registered, insured mail for your protection.

Q: Is there a fee to participate in DRS?

A: No, there is no fee to participate in DRS.

Q: Without certificates, how will I know how many shares I own?

A: Each time you have a share transaction, you are sent a Direct Registration Transaction Advice (Advice) reporting the number of shares of Orbital stock you hold in book-entry form. 

Q: Can I receive a physical stock certificate for my DRS shares?

A: Yes.  You may at anytime request that a physical stock certificate be issued for a portion or all of your DRS shares by contacting Computershare using the contact information provided in the “Transfer Agent” section above.

Q: Can I transfer my DRS shares to my broker?

A: Yes. Have your broker request your shares be sent to them through the Depository Trust Company’s Direct Registration Profile System.  You need to supply your broker with a copy of your latest Advice and the following information:

  • Your Computershare account number (on your Advice)
  • Your Social Security Number
  • Computershare’s DTC number, 7807
  • The number of whole shares you wish to move from your Computershare account to your brokerage account

Q: Can I sell my DRS shares if I don’t have an existing brokerage relationship?

A: Yes.  Converting your shares to book-entry form provides you with access to Computershare’s sales facility. To request the sale of your shares, contact Computershare as follows:

  • By Internet at www.computershare.com.  Please note that you will need to register your account prior to requesting your sale.  To register, click on the “Investor Centre” link beneath the “Shareholder Services” heading.

Shareholders' Meeting

Q: When and where will the next shareholders' meeting be held?

A: The 2009 Annual Stockholders Meeting will be held at Orbital's corporate headquarters in Dulles, Virginia on Thursday, April 22, 2010, beginning at 9:00 a.m. (Eastern).

Q: How can I attend?

A: If you are a shareholder of Orbital common stock as of the record date for the Annual Meeting, you are eligible and invited to attend the meeting.

Q: How can I attend if I hold my stock in a brokerage account?

A:Shareholders with stock in brokerage accounts need to bring with them a recent copy of their brokerage statement showing their Orbital common stock ownership or a copy of the proxy card sent to them by their brokerage firm. (The original may be completed and returned to your brokerage firm so your vote can be counted in their total).
